Terms of Service

Welcome to Sylex Design! By accessing or using our website and services, you agree to comply with and be bound by the following terms and conditions. Please review these Terms of Service ("Terms") carefully. If you do not agree with these Terms, you may not access or use our services.

Sylex Design offers creative services, including but not limited to video editing, graphic design, album covers, logo creation, and marketing solutions ("Services"). The specifics of each project will be outlined in a project proposal or agreement shared with the client prior to commencing work. All services are subject to availability and acceptance of your order.

All projects require a non-refundable deposit of 20% to begin work unless otherwise agreed upon in writing. The remaining balance must be paid in full before the final files are delivered. We accept payments via credit card, PayPal, or bank transfer. Sylex Design reserves the right to withhold any deliverables until payment has been completed.

Due to the custom nature of our work, refunds are not provided once a project has been initiated and work has commenced. We will, however, make reasonable efforts to address any concerns through revisions, as outlined in the project agreement.

Each project includes a set number of revisions based on the service package or project agreement. Revisions are limited to the scope of the original design. Any additional revisions beyond the allotted rounds or changes to the initial project scope will incur extra charges at an hourly rate, which will be specified in your project agreement.

Timelines are outlined at the start of each project and depend on the complexity of the work. Delays in providing necessary information, files, or feedback may result in adjusted delivery dates. Sylex Design is not responsible for delays caused by client inaction or lack of communication.

Upon receipt of full payment, Sylex Design grants the client a non-exclusive, transferable, worldwide license to use and modify the delivered materials ("Licensed Work") for any purpose they see fit. This license includes, but is not limited to, the following permitted uses:

• Logos: For use in business branding, marketing, and promotional materials (both digital and print).

• Album Covers: For distribution on music platforms, streaming services, social media, and for promotional purposes.

• Video Edits: For use on websites, social media platforms, digital marketing campaigns, and any other commercial or non-commercial use.

• Marketing Materials: For commercial use to promote the Client’s business, products, or services.

Clients are permitted to modify, alter, or create derivative works of the Licensed Work without further approval from Sylex Design. Additionally, clients are allowed to sub-license or distribute the Licensed Work to third parties as needed to fulfill their business needs or for any other lawful purposes.

This license is granted in perpetuity (forever) beginning from the date the final payment is received, unless otherwise stated or terminated under the terms of this agreement.

All materials created by Sylex Design, including but not limited to designs, graphics, logos, and videos, remain the intellectual property of Sylex Design until full payment is received. Upon full payment, ownership of the Licensed Work is transferred to the client. Sylex Design retains the right to use the work in its portfolio, website, and marketing materials, unless the client requests to opt-out in writing.

Sylex Design will maintain the confidentiality of all information provided by the client and will use it solely for the purpose of completing the project. We will not disclose any proprietary or confidential information without the client’s consent unless required by law.

Sylex Design shall not be liable for any direct, indirect, incidental, or consequential damages arising out of the use or inability to use our services, including but not limited to loss of data, loss of profits, or business interruption. In any event, the maximum liability of Sylex Design shall not exceed the total amount paid by the client for the project.

Either party may terminate the agreement if the other party breaches any material term and fails to remedy such breach within 7 days of receiving written notice. Sylex Design reserves the right to terminate services immediately if the client exhibits abusive behavior, fails to make timely payments, or breaches any terms outlined in this agreement. In such cases, deposits and payments already made may not be refunded.

Sylex Design may showcase the final work in its portfolio, website, and marketing materials unless a written agreement states otherwise. If the client prefers that the project remain confidential, they must notify Sylex Design in writing.

These Terms and any separate agreements whereby we provide you services shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes shall be resolved in the courts of the United Kingdom.

Sylex Design reserves the right to update or modify these Terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services after any changes indicates acceptance of the revised terms.

These Terms and any agreements expressly referenced herein constitute the entire agreement between you and Sylex Design and supersede any prior agreements or understandings, whether written or oral.
